Position Overview

The CommercialCounselprovides a diverse range of legal services to Allergan’s US commercial functions, which operate in a highly regulated pharmaceutical/medical device environment. The Commercial Counsel will be a key member of the US Legal Team. She or he will be the lead attorney supporting the Eye Care Sales & Marketing team and will help support Medical Affairs, Compliance and other functions as assigned. The Commercial Counsel will work closely with Allergan’s commercial functions by participating in business strategy/concept reviews and providing sound legal and compliance guidance. She or hewill also perform the legal reviewof promotional materials for the US market.

ESSENTIAL DUTIES AND RESPONSIBILITIES

The primary duties and responsibilities of this position include the following. Other duties may be assigned.

  • Provides sound legal advice to the Eye Care sales and marketing teams on marketing strategies, product launches, regulatory strategies, promotional/advertising matters, competitive surveillance and on compliance with applicable laws, regulations and industry practices.

  • Provides legal advice on health care compliance laws (including the Anti-Kickback Statute and False Claims Act) and industry guidance and practices, and advises the business and the Compliance Department on appropriate interactions with healthcare providers, payors, patients and other stakeholders.

  • Reviews promotional and other material for the Eye Care portfolio, to ensure compliance with the Federal Food, Drug & Cosmetic Act and other applicable laws and regulations.

  • Supports the negotiation and execution of complex agreements, including marketing, vendor, and trade agreements.

  • Develops and enhances contract templates and guidelines, and ensures contract language meets legal requirements and is designed to mitigate risk/liability to the Company.

  • Participates in the review of policies and SOPs as required.

  • Participates in the assessment and resolution of operational issues as needed.

  • Completes special projects as assigned.

  • Remains current on laws, rulings, guidance, regulations and government program requirements affecting business within identified areas of responsibility and helps implement appropriate actions.

  • Identifies and helps develop plans to mitigate areas of legal risk affecting the business.

  • Upholds Company policies.

  • Works in a cooperative manner with colleagues and customers.

  • Works effectively under deadlines.

EDUCATION AND EXPERIENCE

JD Degree and a member in good standing of a US bar.

A minimum of five (5) years of experience working in a corporate legal environment or a major law firm.

Experience in the areas of FDA law and healthcare compliance required.

A focus on pharmaceutical products is preferred, but experience with medical device is relevant. Direct pharmaceutical industry experience is preferred.
