Position Overview

Under limited direction, the Associate Counsel – Compensation & Benefits serves as counsel for compensation and benefit plan design, legal compliance, administration, communication and disclosure.

Main Areas of Responsibility

  • Serve as counsel for compensation and benefit plan design, legal compliance, administration, communication and disclosure.

  • Draft tax-qualified and non-qualified defined contribution plans and health and welfare plans and assist in preparation of employee communications related to such arrangements.

  • Assist with drafting executive compensation proxy disclosures and proxy filing process.

  • Assist with preparation and review of compensation committee meeting materials.

  • Collaborate with, advise, and support HR, Accounting, Treasury and Payroll on all compensation, benefit and trust matters involving ERISA, the Internal Revenue Code, DOL and securities law compliance.

  • Manage worldwide governance structure for compensation and benefit plans and arrangements, and serve as key legal advisor to management committees with plan sponsor and/or fiduciary responsibility.

  • Counsel on responses to ERISA claims and appeals.


The following listed requirements need to be met at a minimum level to be considered for the job:

  • Minimum 3+ years of relevant compensation and benefits legal experience at a law firm or in house.


JD required and Bar Admission required (NJ/NY Bar License preferred)
