Position Overview

The Commercial Counsel based in Madison, NJ provides a diverse range of legal services to the US commercial functions within the Company, which operates in a highly regulated pharmaceutical/medical device environment. The Commercial Counsel will primarily help support the Managed Markets, Patient Savings Programs, Pricing and Access, Government Pricing, Trade, with some advising of Sales and Marketing and other functions as assigned. The Commercial Counsel will work closely with the Company’s commercial functions by participating in business strategy meetings and providing sound legal and compliance guidance.

Main Areas of Responsibilities

The primary duties and responsibilities of this position include the following. Other duties may be assigned.

  • Participates in the development of contractual and business strategies with the Managed Markets, Pricing and Access, and Trade teams.

  • Provides legal guidance on various matters, including Medicare and Medicaid, Anti-Kickback Statutes, False Claims Acts, antitrust, Robinson-Patman Act, rebating strategies, state laws applicable to pharmaceutical manufacturers (i.e., drug price transparency laws) etc.

  • Offers legal advice on reporting requirements of prescription drug prices to federal and state governments (e.g., Medicare, Medicaid, Tricare, VA), AMP rule, best price, coverage gap, 340B, ASP, PHS, treatment of admin/service fees, etc.

  • Supports the negotiation and execution of various agreements, including vendors agreements and trade-related agreements with group purchasing organizations, wholesalers, and providers.

  • Develops and enhances contract templates and guidelines, and ensures contract language meets legal requirements and is designed to mitigate risk/liability to the Company.

  • Provides legal advice pertaining to patient savings programs including, but not limited to, co-pay cards, patient assistance programs, charities, and voucher programs.

  • Provides strategic legal advice to the marketing teams and reviews promotional material for the assigned therapeutic areas; review promotional and other materials to ensure compliance with the Federal Food, Drug & Cosmetic Act and related laws and regulations.

  • Participates in the review of policies and SOPs as required.

  • Participates in the assessment and resolution of operational issues as needed.

  • Completes special projects as assigned.

  • Remains current on laws, rulings, guidance, regulations and government programs requirements affecting business within identified areas of responsibility and helps implement appropriate actions.

  • Identifies and helps elaborate plans to mitigate areas of legal risk affecting the business.

Requirements

The following listed requirements need to be met at a minimum level to be considered for the job:

  • Current member in good standing of a US bar.

  • Minimum of five (5) years of experience working in a corporate legal environment or a major law firm.

Preferred Skills/Qualification

The below skills are attributes that are desired in the ideal candidate.

  • Experience in the areas of healthcare fraud and abuse laws, healthcare compliance, and government pricing programs required.

  • Direct pharmaceutical industry experience is strongly recommended.

  • Experience in the areas of managed markets, supply, distribution/logistics contracting are all relevant.

  • Pharma, payer (PBM or health plan), or supply chain experience strongly preferred.

  • Sound business and legal judgment, with ability to balance business objectives and risk, solving legal problems in a high-output, fast moving environment.

  • Excellent drafting and legal technical skills.

  • Exceptional attention to detail and excellent organizational skills.

  • Ability to prioritize duties and manage multiple matters from start to finish with minimal supervision.

  • Strong interpersonal, written and oral communication skills.

  • Ability to work on complex problems with demonstrated creativity and problem-solving skills.

  • Ability to maintain the highest degree of confidentiality and integrity.

  • Ability to travel 5-10% domestically.

Education

  • Bachelor’s Degree (BA) and Juris Doctor Degree (JD) Required.
